1. About Us

Cechoes Technology Private Limited is a company incorporated in India under the Companies Act 2013, with its registered office in Kolkata, West Bengal, India. References to "Cechoes", "we", "our", or "us" in these Terms refer to Cechoes Technology Private Limited and, where the context permits, its brand entities and affiliates.

2. Acceptance of Terms

By accessing or using any Cechoes website, registering for any platform or programme, submitting an enquiry, or entering into any service agreement with Cechoes, you confirm that:

(a) you are at least 18 years of age or, if accessing our services on behalf of an organisation, that you have the authority to bind that organisation to these Terms;

(b) all information you provide to us is accurate, current, and complete; and

(c) you will comply with these Terms and all applicable laws and regulations in your jurisdiction.

If you are using our services on behalf of an organisation, these Terms apply to both you personally and to that organisation.

3. Services

Cechoes Technology and its brands provide a range of services, which may include AI-powered business strategy platforms, institutional and government consulting, educational programmes in AI and data science, advanced AI intelligence solutions, and adaptive software interface products. The specific terms governing any particular service, programme, or consulting engagement may be set out in a separate order form, statement of work, or programme enrolment agreement. In the event of any conflict between those specific terms and these Terms, the specific terms will prevail to the extent of the inconsistency.

We reserve the right to modify, suspend, or discontinue any service or feature at any time, with or without notice. We shall not be liable to you or any third party for any such modification, suspension, or discontinuation, except where required by law or by a specific contractual commitment.

4. Accounts and Access

Certain services require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately upon becoming aware of any unauthorised access to or use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms, that are used in a manner that damages our services or the experience of other users, or where we have reasonable grounds to suspect fraudulent activity.

You may not share your account credentials with any other person. Access to paid services is granted to the registered individual or named organisation and is non-transferable unless explicitly permitted in writing by Cechoes.

5. Intellectual Property

All content on our websites and within our platforms, including but not limited to text, graphics, logos, brand identities, videos, course materials, software, data pipelines, models, and methodologies, is the intellectual property of Cechoes Technology Private Limited or of our licensors, and is protected by applicable intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use our websites and services for the purpose for which they are made available to you. This licence does not permit you to:

(a) reproduce, copy, modify, distribute, or create derivative works from any Cechoes content without our prior written consent;

(b) use any Cechoes brand, trademark, or proprietary content for commercial purposes;

(c) reverse-engineer, decompile, or otherwise attempt to extract the source code of any Cechoes software or AI model; or

(d) scrape, crawl, or harvest data from any Cechoes website or platform using automated means.

Any feedback, suggestions, or ideas you share with us about our services may be used by Cechoes without restriction and without any obligation to compensate you. We appreciate your input and will always treat it respectfully.

6. User Conduct

You agree to use our services only for lawful purposes and in a manner consistent with these Terms. In particular, you agree not to:

(a) use our services in any manner that infringes the rights of any third party or is otherwise unlawful;

(b) transmit any material that is defamatory, offensive, discriminatory, or intended to cause harm;

(c) attempt to gain unauthorised access to any part of our systems, networks, or services;

(d) interfere with or disrupt the integrity or performance of our services or the infrastructure supporting them;

(e) use our services to distribute spam, malware, or any other harmful or unsolicited communications; or

(f) misrepresent your identity or your organisation when engaging with Cechoes or its services.

We reserve the right to investigate and take appropriate action, including suspension or termination of access, in response to any suspected breach of this clause.

7. Payments and Billing

Fees for any Cechoes service are as set out in the relevant order form, programme enrolment agreement, or pricing page applicable to the specific service. Unless otherwise stated, all fees are quoted exclusive of applicable taxes, which shall be charged in addition at the prevailing rate.

Payment is due in accordance with the terms specified at the point of purchase or in the applicable service agreement. Where subscription or recurring billing applies, you authorise us to charge the payment method on file at each billing cycle until the subscription is cancelled in accordance with the cancellation terms applicable to that service.

We use third-party payment processors who maintain their own terms and conditions. We are not responsible for the practices of those processors beyond the contractual obligations we place on them. Payment card data is not stored by Cechoes.

In the event of a disputed charge, please contact us at support@cechoestech.com before initiating a chargeback, as most billing queries can be resolved promptly through direct communication.

8. Refunds and Cancellations

Our refund and cancellation policies vary by service type. Full details are set out in our Refund Policy, available at Refund Policy. In summary:

Zapthru Academy programmes carry a seven-day full refund policy from the date of enrolment. Strategy.Bz subscription plans may be cancelled at any time with effect from the end of the current billing period. Consulting and institutional engagements under Strategy.TF are governed by the specific terms agreed in the relevant statement of work or engagement letter.

9. Confidentiality

Where Cechoes services involve the exchange of confidential information, whether as part of a consulting engagement, a strategy platform output, or a partnership arrangement, both parties agree to treat such information with the same standard of care they would apply to their own confidential information, and no less than a reasonable standard of care.

Confidentiality obligations do not apply to information that is or becomes publicly known through no fault of the receiving party, that was already known to the receiving party prior to disclosure, or that is required to be disclosed by law or court order.

Where a separate non-disclosure agreement or confidentiality clause in a service agreement applies, that agreement will govern confidentiality obligations in respect of that specific engagement.

10. Disclaimers

Our websites and services are provided on an "as is" and "as available" basis. While we take all reasonable steps to ensure accuracy and reliability, we make no warranties, express or implied, as to:

(a) the accuracy, completeness, or currency of any content on our websites;

(b) the fitness of our services for any particular purpose;

(c) the absence of errors, viruses, or interruptions in our services or the infrastructure supporting them; or

(d) the outcomes of any strategic recommendation, analysis, or educational programme provided by Cechoes.

Strategic and analytical outputs provided by Cechoes services, including those generated with the assistance of AI, are intended to inform and support decision-making, not to replace the professional judgement of qualified advisers. Cechoes accepts no liability for decisions made solely on the basis of outputs from our platforms or services without appropriate independent validation.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Cechoes Technology Private Limited and its directors, officers, employees, agents, and brand entities shall not be liable to you for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of profit, loss of data, or loss of business opportunity, arising out of or in connection with your use of our services or these Terms, even where we have been advised of the possibility of such damages.

Where our liability cannot be excluded by law, our aggregate liability to you for any claim arising out of or in connection with our services shall not exceed the total fees paid by you to Cechoes in the 12 months immediately preceding the event giving rise to the claim, or INR 10,000 (Indian Rupees ten thousand), whichever is the greater.

Nothing in these Terms limits or excludes liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded by applicable law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Cechoes Technology Private Limited and its directors, officers, employees, agents, and brand entities from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of our services in violation of these Terms; (b) your violation of any applicable law or the rights of any third party; or (c) any content or information you provide to us that is inaccurate, misleading, or infringes the rights of any third party.

13. Third-Party Services and Links

Our websites and services may contain links to third-party websites or integrate with third-party tools and platforms. These third-party services are provided for convenience and informational purposes only. Cechoes does not endorse, control, or take responsibility for the content, privacy practices, or reliability of any third-party service. Your use of any third-party service is at your own risk and subject to that third party's terms and conditions.

14. Privacy

Our collection and use of personal data in connection with these Terms and our services is governed by our Privacy Policy, available at Privacy Policy. By using our services, you agree to the collection and use of your personal data as described in that policy.

15. Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of India.

We encourage the resolution of disputes through direct communication in the first instance. If a dispute cannot be resolved informally within 30 days of either party notifying the other in writing, the parties agree to submit the dispute to arbitration in accordance with the Arbitration and Conciliation Act 1996 of India, with the seat of arbitration in Kolkata, West Bengal. The arbitration shall be conducted in English by a sole arbitrator agreed upon by the parties, or, failing agreement, appointed in accordance with the applicable rules.

Nothing in this clause prevents either party from seeking emergency injunctive relief from a court of competent jurisdiction where necessary to protect confidential information or intellectual property rights pending the outcome of arbitration.

16. Force Majeure

Cechoes shall not be liable for any failure or delay in the performance of its obligations under these Terms where such failure or delay results from causes beyond our reasonable control, including but not limited to acts of God, pandemic, governmental action, telecommunications failure, or cyber attacks. We will notify you as soon as reasonably practicable of any such event and will use reasonable efforts to resume normal service as quickly as possible.

17. Changes to These Terms

We reserve the right to update these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page. Where required by applicable law or where a change materially affects your rights or obligations, we will provide reasonable prior notice by email or prominent notice on our websites.

Your continued use of our services after any change to these Terms constitutes your acceptance of the revised Terms. If you do not agree with any revision, you should discontinue use of the relevant service and notify us accordingly.

18. Severability and Waiver

If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

No failure or delay by Cechoes in exercising any right or remedy under these Terms shall constitute a waiver of that right or remedy. No single or partial exercise of any right or remedy prevents the further exercise of that right or remedy or the exercise of any other right or remedy.

19. Entire Agreement

These Terms, together with our Privacy Policy, Refund Policy, and any service-specific terms or agreements applicable to the services you use, constitute the entire agreement between you and Cechoes Technology Private Limited with respect to the subject matter hereof, and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral.
